Proofpoint has agreed to buy data security company Varonis in an all-cash deal valued at about $6.3 billion. Why it matters: the companies are pitching the combination squarely at AI — protecting the data that AI systems and agents can reach — and say it will create one of the largest data and AI security organisations in the industry.

What happened
The two companies announced a definitive agreement on Thursday, October 15. Varonis shareholders are set to receive $49.75 per share in cash. That price is a 52% premium to Varonis’s closing price on June 22, the last full trading day before early reports of a possible sale, and a 17% premium to its September 1 close, before further sale speculation. Proofpoint is owned by private equity firm Thoma Bravo, which is providing committed equity financing alongside secured debt commitments; Ontario Teachers’ Pension Plan has also agreed to invest in Proofpoint as part of the transaction.
The terms and the timeline
Varonis’s board approved the deal unanimously. It is expected to close in the first half of 2027, subject to Varonis shareholder approval and regulatory clearances. Until then, both companies keep operating independently. Once the deal completes, Varonis shares will stop trading on Nasdaq and the company will become private. Varonis will report its third-quarter results on November 3 but will not hold an earnings call. Goldman Sachs advised Varonis; BofA Securities, Morgan Stanley, J.P. Morgan, UBS and Mizuho advised Proofpoint.
Why it matters
The combined company would serve more than 16,000 enterprises and millions of organisations worldwide. The strategic logic is the part worth watching: as AI agents gain access to sensitive information and start acting across systems, knowing what data exists, who can reach it and how it is actually being used becomes the control point. Proofpoint brings strength in communications and human-focused security; Varonis brings data classification, permissions and data security posture. Whether the integration delivers one coherent platform is an open question — the companies say they intend to move quickly after closing — but the price tag alone shows how valuable the data layer has become in the AI security market. For buyers, expect more consolidation pitches built on exactly this argument.
