Salesforce has signed a definitive agreement to buy Braze for about $5.66 billion in enterprise value, paying $47.50 in cash per share for the customer-engagement platform. Why it matters: it is Salesforce’s clearest bet yet that marketing will be run in real time by AI decisioning, not by scheduled campaigns.

What happened
Salesforce, which bills itself as the world’s No. 1 AI CRM, announced the deal on Tuesday, October 20. Holders of Braze Class A common stock will receive $47.50 in cash per share. The Wall Street Journal reported that price is a roughly 58% premium to Braze’s closing price of $30.04 on Monday.
Braze will continue building as Braze after the close, according to its chief executive and co-founder Bill Magnuson, and will keep investing in its customer and partner community.
What Braze actually does
Braze helps marketers respond to customer behavior in real time across mobile apps, websites, email, SMS, WhatsApp and other channels. Its cloud-native, event-streaming architecture continuously updates customer profiles and adapts journeys, powering trillions of messages and journey actions each year, according to Salesforce.
BrazeAI extends that with AI-powered optimization across content, offers, channels and timing. Salesforce says Braze serves about 2,770 customers, including Canva, Dairy Queen, Equinox, Instacart, Urban Outfitters and Venmo.
Where it fits at Salesforce
Salesforce says Braze’s real-time engagement and AI decisioning are expected to complement Data 360, Customer 360, Agentforce and SIForce. Inside Customer 360, Braze is expected to strengthen Marketing Cloud’s cross-channel personalization at a scale of hundreds of millions of people.
The transaction is expected to close in Salesforce’s fiscal year 2028, subject to Braze shareholder approval and regulatory approvals. Salesforce said there is no anticipated change to its fiscal 2027 guidance.
Why it matters
For marketers, the practical question is consolidation. If Braze’s real-time, mobile-first engagement is folded into Marketing Cloud and Agentforce, teams may get one place to decide what to send, when and on which channel — with AI making more of those calls. The risk is the usual one with big acquisitions: a 58% premium has to be earned back, and customers will watch whether Braze keeps shipping at the pace Magnuson cited or slows inside a larger machine. Everything AI, tested means watching the product after the press release, not just the price.
