Character.AI Files for Bankruptcy, With Disney Lined Up as $20 Million Lead Bidder

Character.AI has filed for Chapter 11 bankruptcy in the United States and lined up Disney as the lead bidder for some of its assets at $20 million. Why it matters: one of the best-known consumer AI chatbot platforms now has only weeks to find a buyer willing to keep it running, or it will be wound down.

October 13, 2026 — Character Technologies, the company behind Character.AI, said on Monday it had begun a voluntary Chapter 11 case in Delaware to sell all or substantially all of its assets through a court-supervised process.

What happened?

Before filing, the company reached an agreement with Disney Worldwide Services, an affiliate of Walt Disney. Disney will act as the stalking horse bidder — the bidder whose offer sets the floor for an auction — for a non-exclusive, perpetual licence to certain Character.AI intellectual property and certain company claims.

In return, Disney would pay $20 million and provide transition services, using former Character.AI employees it has hired, to help the platform operate safely for a limited period while the sale runs. The deal remains open to higher or better offers under the bankruptcy code.

According to a court filing reported by Reuters, the company listed estimated assets and liabilities of between $50 million and $100 million.

What happens to the platform and its users?

Character.AI says it intends to keep operating, including the chatbot platform itself, with minimal disruption while the sale process runs. It has filed the usual first-day motions so it can keep paying employees, honour commitments to users, and pay vendors for work after the filing date.

The timeline is short. The company expects the sale process and any resulting closing to happen in late November or early December 2026. There is a clear catch: if no buyer emerges who will continue the platform, Character.AI says the platform will be wound down.

Chief executive Colin Adams said the board reviewed its options and concluded that a court-supervised sale gave stakeholders the best chance to maximise value, adding that a safe user experience remains a priority during the process.

Why it matters

Character.AI, founded in 2021, helped define consumer AI entertainment — chat, roleplay and user-created characters — long before chatbots were mainstream. Its filing is a reminder that popularity alone does not pay for inference, legal and safety costs. For users, the practical takeaway is simple: your favourite characters and chats now depend on an auction outcome due within roughly two months. Everything AI, tested — and, in this case, a test of whether a pioneering chatbot brand is worth more alive than as licensed IP.

Frequently asked questions

Is Character.AI shutting down?

Not yet. The company says it will keep operating during the sale process. It will be wound down only if the process fails to produce a buyer willing to continue the platform.

What is Disney actually buying?

Disney is the lead bidder for a non-exclusive, perpetual licence to certain intellectual property and certain claims — not, on the terms announced, the platform itself. Other bidders can still offer more.

When will the sale be decided?

The company expects the sale process to complete in late November or early December 2026, subject to court approval of the bidding procedures.
